Principal Agency Agreement - Heritage Trading DMCC (Principal) and Rug Distribution Ltd (UK Agent)

1. Introduction

  1. These Terms and Conditions (“Terms”) govern the sale of Goods and provision of Services supplied by Heritage Trading DMCC (“we”, “us”, “our”), a company registered in Dubai, United Arab Emirates, operating through its appointed UK agent, Rug Distribution Limited, company no. 16184388, registered office 2 Walker Close, London, W7 3NB.
  2. Agency and Distribution Relationship: Rug Distribution Limited (“Rug Distribution”) acts as the exclusive UK agent and distributor of Heritage Trading DMCC (“Heritage Trading”). Heritage Trading is the principal supplier of all Goods and Services. Rug Distribution coordinates orders, customer communications, logistics, and payments on behalf of Heritage Trading but does not act as principal.
  3. By placing an order, you acknowledge and agree that your contract is with Heritage Trading DMCC, and that Rug Distribution acts solely as its UK agent and logistics coordinator.
  4. Trading Brands: Rug Distribution operates the following trading brands on behalf of Heritage Trading:

    1. The London Persian Rug Company (londonpersianrugcompany.co.uk) – sale of rugs and related Goods.
    2. The Oriental Rug Repair Company (orientalrugrepair.co.uk) – rug repair and restoration Services.

2. Definitions

  1. Goods” means any rugs, carpets, or other products supplied by Heritage Trading.
  2. Services” means any rug repair, restoration, cleaning, or related services performed by or on behalf of Heritage Trading.
  3. Website” means londonpersianrugcompany.co.uk and orientalrugrepair.co.uk.
  4. Order” means an order placed by you for Goods or Services via the Website, by telephone, or in person.

3. Formation of Contract

  1. All Orders are subject to acceptance by Heritage Trading. Rug Distribution acts solely as Heritage Trading’s agent for receiving and transmitting Orders.
  2. These Terms constitute an offer by Heritage Trading to supply Goods or Services. Your Order constitutes an offer to purchase such Goods or Services.
  3. A legally binding contract (“Contract”) is formed when Heritage Trading or Rug Distribution (acting on its behalf) issues an Order Confirmation.
  4. No variation of these Terms shall be binding unless agreed in writing by Heritage Trading.

4. Scope of Agency

  1. Rug Distribution Limited acts solely as Heritage Trading’s UK distribution and logistics agent, handling transport, communication, and payment processing.
  2. Rug Distribution does not own, manufacture, or perform repair work on the Goods. All production, restoration, and service execution take place under the control of Heritage Trading in its overseas facilities.
  3. By placing an order, you acknowledge that Heritage Trading DMCC is the contractual counterparty and service provider, and Rug Distribution Limited is acting as agent only.

5. Goods

  1. Descriptions: Every effort is made to ensure that descriptions and specifications of the Goods are accurate. However, slight variations in colour, texture, and appearance may occur. Images are illustrative only.
  2. Availability: All Goods are subject to availability. We will inform you promptly if unavailable and offer alternatives.
  3. Delivery:

    • Delivery times are estimates only and may vary.
    • We will use reasonable endeavours to meet any date agreed for delivery but are not liable for delays outside our control.
    • Risk of loss or damage passes to you upon delivery.

  4. Returns: You may return Goods within 14 days if faulty or not as described under the Consumer Rights Act 2015. See our Returns Policy on the Website.

6. Services

  1. Estimates: Estimates are approximate; final cost may vary depending on condition and complexity. We will seek approval before proceeding if costs change materially.
  2. Completion: We endeavour to complete Services within the estimated timeframe but are not liable for delays from unforeseen circumstances.
  3. Collection and Delivery: Arrangements for collection and delivery are agreed between you and Rug Distribution. Risk passes to the customer upon delivery back to the customer.
  4. Liability: We take reasonable care of rugs while in our possession but are not liable for damage arising from pre-existing conditions or inherent weaknesses except where caused by our negligence.
  5. Ownership Warranty: The Customer warrants that they are the lawful owner of any rug submitted for repair, cleaning, or restoration, or are duly authorised by the owner to commission the work. Heritage Trading and Rug Distribution accept no responsibility or liability for disputes relating to ownership, title, or provenance of any rug.
  6. Subcontracting of Services: Heritage Trading may subcontract all or part of any Service to suitably qualified third parties, including specialist repair workshops and restoration facilities, without prior notice. Heritage Trading shall remain responsible for ensuring that such subcontracted work meets the same standards of care and quality as if performed directly.

7. Price and Payment

  1. Prices for Goods and Services are as quoted by Heritage Trading (via Rug Distribution) and are subject to change without notice.
  2. Payment may be made by bank transfer or online card payment. Rug Distribution acts as an authorised collecting agent for Heritage Trading and holds any funds received on its behalf.
  3. All invoices are payable upon receipt unless otherwise agreed in writing. We reserve the right to charge interest on overdue accounts at the rate of CPI % per annum above the Bank of England base rate.

Storage of Completed Rugs

  1. When repair or cleaning work is completed, we will notify you by telephone, text message, or messaging application using the most recent contact details provided. We do not issue written letters.
  2. You have 30 days from the date of notification or attempted contact to arrange collection or delivery of your rug.
  3. If we do not hear from you within that period, storage charges will begin automatically from day 31.
  4. Weekly storage rates are:

    • Rugs up to 3 m × 2 m – £25 per week
    • Rugs over 3 m × 2 m and up to 4 m × 3 m – £60 per week
    • Rugs 4 m × 3 m and larger – £100 per week

  5. Charges accrue until the rug is collected or delivered and must be paid in full before release.

Uncollected Goods

  1. If your rug remains uncollected for three (3) months after completion and reasonable contact attempts, we will issue final notice (by telephone or messaging) that the rug may be sold to recover outstanding sums.
  2. After such notice, we reserve the right to sell, liquidate, or otherwise dispose of the rug to recover:

    • the cost of the repair or service;
    • all accrued storage fees; and
    • any additional administrative or disposal costs incurred.

  3. Any remaining balance (if any) will be held on your behalf for six months and may be remitted upon written request.
  4. All storage and disposal provisions are in addition to, and without prejudice to, Heritage Trading’s other contractual or statutory rights.
  5. Customs, Import/Export, and Compliance: The Customer is responsible for any applicable customs duties, import or export fees, local taxes, or regulatory requirements arising from the shipment of rugs outside their jurisdiction. Heritage Trading will assist with necessary documentation but accepts no liability for delays, duties, or charges imposed by customs or transport authorities.

8. Limitation of Liability

  1. Nothing in these Terms excludes or limits liability for:

    1. Death or personal injury caused by negligence;
    2. Fraud or fraudulent misrepresentation;
    3. Breach of the terms implied by section 12 of the Sale of Goods Act 1979;
    4. Any other liability that cannot be excluded or limited by law.

  2. Subject to the above, total liability in respect of any Contract shall be limited to a like for like replacement. Details of which can be found in clause 19.2.
  3. We are not liable for indirect, consequential, or special damages.
  4. We shall not be liable for any loss or damage once items are handed to a third-party courier, provided the client has explicitly agreed to such courier services.

9. Intellectual Property

All intellectual property rights in our Goods, Services, and Website remain the property of Heritage Trading or its licensors. You may not copy, reproduce, modify, or distribute any materials without prior written consent.

10. Data Protection

We process personal information in accordance with our Privacy Policy, available on the Website, which complies with the UK GDPR and the Data Protection Act 2018.

11. Force Majeure

We shall not be liable for any delay or failure to perform obligations due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, strikes, fires, floods, epidemics, or natural disasters.

12. Entire Agreement

These Terms constitute the entire agreement between you and Heritage Trading in relation to the subject matter and supersede any prior agreements or understandings.

13. Governing Law and Jurisdiction

These Terms and any Contract shall be governed by and construed in accordance with the laws of England and Wales, and any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Notices

All notices must be in writing and sent to the addresses set out in these Terms or as otherwise notified by either party.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect

17. Specific Considerations for LPRC and ORRC

  1. LPRC (London Persian Rug Company)

    1. All rugs sold as described. Certificates of authenticity are available where applicable.
    2. Vintage and antique rugs are graded according to age and condition.
    3. Care instructions are provided with each rug.

  2. ORRC (Oriental Rug Repair Company)

    1. A full assessment of rug damage will be completed before work begins.
    2. We use only high-quality, natural materials and dyes matched to the original rug.
    3. Customer approval is obtained prior to finalising any repair or maintenance work.

18. Valuations and Limitation of Liability for Valuations

  1. From time to time, Heritage Trading DMCC or its authorised agent, Rug Distribution Limited, may provide a valuation or indicative appraisal of a rug or carpet, whether verbally, in writing, or as part of an insurance or restoration service.
  2. All valuations provided are for insurance and replacement purposes only, representing a reasonable retail replacement value for a rug of similar type, quality, origin, and condition at the time of assessment. They are not to be construed as:

    1. an achievable sale price;
    2. a trade or auction value;
    3. a guaranteed realisable value; or
    4. a professional certification of worth or authenticity for resale.

  3. Heritage Trading and Rug Distribution expressly disclaim any liability for any difference between the valuation provided and the amount realised upon subsequent sale, auction, trade, or disposal of the rug. Market conditions, buyer interest, and regional variations may cause significant differences between replacement, saleable, and insurable values.
  4. The Customer acknowledges and agrees that:

    1. Valuations are opinions, not warranties or representations of fact.
    2. Any valuation provided shall not create any contractual or fiduciary duty between Heritage Trading, Rug Distribution, and the Customer beyond that of reasonable care in forming a professional opinion.
    3. Heritage Trading and Rug Distribution shall not be held liable for any loss, cost, or damage arising from reliance on any valuation, including without limitation, loss of market opportunity, resale value, or profit.

  5. Unless otherwise agreed in writing, all valuations are valid for a period of six (6) months from the date of issue and are based on the condition of the rug at that time. Heritage Trading and Rug Distribution accept no responsibility for subsequent changes in market value or condition.
  6. The Customer further acknowledges that the replacement value provided for insurance purposes is intended solely for use with insurers to establish a like-for-like retail replacement cost and does not represent the value the Customer would necessarily receive upon sale or disposal of the item.

19. Loss, Damage, and Insurance

  1. Heritage Trading DMCC and its appointed UK agent, Rug Distribution Limited, will exercise all reasonable care in the collection, transport, repair, storage, and delivery of rugs entrusted to them. Both maintain comprehensive insurance coverage for rugs in their custody against loss or damage on a replacement basis.
  2. In the event of total loss or irreparable damage to a rug while in our care, custody, or control, Heritage Trading’s liability shall be limited strictly to the replacement of the rug with a like-for-like item of comparable type, age, quality, and condition, as reasonably determined by Heritage Trading in its sole but fair discretion.
  3. Heritage Trading and Rug Distribution will not be liable to make or offer any cash settlement or financial compensation in lieu of replacement. Replacement with an equivalent rug of similar quality and value shall constitute full and final settlement of any claim.
  4. Customers are strongly advised to maintain their own insurance coverage for rugs while they are out of their possession, including while in transit to or from our premises, or during repair or storage. This ensures continuity of the Customer’s own home-contents or insurance-policy coverage, particularly where a financial indemnity may be required.
  5. Heritage Trading and Rug Distribution accept no liability for:

    1. any loss not covered by their insurance policy;
    2. consequential or indirect loss;
    3. depreciation, loss of profit, or loss of sentimental value; or
    4. any reduction in value resulting from age, wear, or inherent defects.

  6. By submitting a rug for any Service, the Customer acknowledges and accepts that:

    1. risk transfers to Heritage Trading only for the period during which the rug is in its possession for repair, cleaning, or restoration;
    2. liability is limited to replacement with an equivalent rug, not to monetary value; and
    3. the Customer remains responsible for ensuring that adequate insurance is maintained for any financial value they wish to protect.

  7. This clause is intended to satisfy the reasonableness requirement under the Unfair Contract Terms Act 1977 and the Consumer Rights Act 2015, and shall be construed to give it maximum lawful effect consistent with those Acts.

Disclaimer

The Rug Group Ltd (including its brands 'London Persian Rug Company' and  'Oriental Rug Repair Company') operates as an appointed logistics and facilitation agent for Clark & Gill, a specialist rug restoration provider based in Pakistan. All major rug repair services (including but not limited to structural repairs, reweaving, and dye work) are performed by Clark & Gill at their overseas facility. The Rug Group Ltd is not the provider of these services and acts solely as a coordinating agent for transport, client liaison, and return delivery. Responsibility for the execution and quality of repair services rests with Clark & Gill, the principal.
